Terms of Service for Localité
1. Acceptance of Terms
By downloading, installing, accessing, or using the Localité application on iOS or Android platforms, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use Localité. These Terms constitute a legally binding agreement between you and Locality, LLC.
2. Eligibility & Account Security
Age Requirement: You must be at least sixteen (16) years of age to create an account or use Localité. By creating an account, you represent and warrant that you meet this age requirement.
Account Registration: You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Locality, LLC immediately of any unauthorized access or security breach.
3. User Data, Content & Licensing
Ownership: You retain ownership of all original content, photos, text, and profile details that you submit or post to Localité ("User Content").
Operational License: By submitting User Content or sharing location data, you grant Locality, LLC a non-exclusive, worldwide, royalty-free, transferable license to host, store, cache, reproduce, modify, adapt, and display such content solely as necessary to operate, maintain, provide, and improve the App.
Content Persistence Post-Deletion: When you delete your account or remove User Content, your personal profile and direct location tracks will be removed from active databases. However, content or interactions contributed to shared group environments (such as group messages or historical group activities) will persist in anonymized or aggregated forms to maintain the operational integrity of group features for other users.
Declared Interests & Advertising: Locality, LLC may collect, analyze, and utilize your declared interests (real-time or historical activities/preferences you share within the App) alongside aggregated, non-personally identifiable location data to deliver personalized, location-based advertisements and promotions.
4. Location Services & Third-Party Map APIs
Mapping Integrations: Localité incorporates location mapping features powered by Google Maps APIs (on Android devices) and Apple MapKit (on iOS devices). By using Localité, you agree to be bound by the respective third-party terms:
- Google Maps/Google Earth Additional Terms of Service and Google Privacy Policy.
- Apple Maps Terms of Use and Apple Privacy Policy.
Location Accuracy Disclaimer: Location features depend on hardware, satellite signals, network connectivity, and third-party API processing. Locality, LLC does not guarantee real-time location precision, continuous availability, or error-free reporting. Location data may be delayed, inaccurate, or temporarily unavailable due to environmental or technical limitations.
5. Real-World Safety & Off-Platform Interaction Disclaimer
Voluntary Location Sharing: Sharing your live or frequent location and declared interests with friends or group members is done entirely at your own discretion and risk.
Off-Platform Conduct: Locality, LLC does not conduct criminal background checks or identity verifications on users. You are solely responsible for your real-world interactions, meetups, and safety when connecting with other users or visiting locations displayed in the App.
Release of Liability: Locality, LLC, its officers, members, employees, and agents expressly disclaim any and all liability for injury, harassment, loss, property damage, or harm resulting from your reliance on location data or off-platform interactions with other Localité users.
6. Acceptable Use Policy
You agree not to use Localité to:
- Stalk, harass, intimidate, track, or endanger any individual without their explicit consent.
- Reverse engineer, decompile, extract source code, or scrape data from the App or underlying infrastructure.
- Create fake accounts, impersonate others, or transmit spam, malware, or unlawful content.
- Interfere with or compromise the security or performance of the App or third-party mapping APIs.
7. Monetization & Service Changes
Localité is currently provided free of charge. Locality, LLC reserves the right to introduce premium tiers, advertising, or feature modifications at any time. Notice of material changes to service features or commercial terms will be provided through the App or associated communications.
8. Limitation of Liability & Disclaimers
"As-Is" Provision: Localité is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Liability Cap: To the maximum extent permitted by applicable law, Locality, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use Localité. In no event shall Locality, LLC's total liability exceed one hundred U.S. dollars ($100.00).
9. Governing Law & Dispute Resolution
Governing Law: These Terms and any disputes arising out of or relating to Localité shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles.
Informal Resolution: Before filing any formal legal claim, you agree to attempt to resolve any dispute informally by contacting Locality, LLC. The parties agree to negotiate in good faith for a minimum of thirty (30) days.
Binding Arbitration: If the dispute is not resolved informally, all claims arising under or relating to these Terms or the App shall be finally settled through binding individual arbitration administered in Alabama under the Consumer Arbitration Rules of the American Arbitration Association (AAA). You waive any right to bring or participate in class action lawsuits or class-wide arbitration against Locality, LLC.
10. Modifications & Contact Information
Locality, LLC reserves the right to update or modify these Terms at any time. We will notify you of material updates by posting the revised Terms within the App or updating the "Effective Date" above. Continued use of Localité following any changes constitutes acceptance of the new Terms.
